Clayton Williams Energy Closes on Andrews County Wolfberry Assets

Clayton Williams Energy, Inc. announced it has closed the previously reported transaction to monetize its Wolfberry oil and gas reserves, leasehold interests and facilities located in Andrews County, Texas.

At the closing, the company contributed 5 percent of the assets to a newly formed limited partnership in exchange for a 5 percent general partner interest, and a financial investor contributed cash of $215.2 million to the limited partnership in exchange for a 95 percent limited partnership interest.

The limited partnership then purchased 95 percent of the assets from the company for $215.2 million, subject to customary closing adjustments, with $26.5 million being placed in escrow pending resolution of certain title requirements and $188.7 million being paid to the company.

If the title requirements are not satisfied, waived or extended within 180 days, the affected properties will be conveyed back to the company and the escrowed funds will be returned to the limited partner. Management of the company believes that the defects will be cured timely.

Effective with the closing, the borrowing base under the company’s revolving bank credit facility was reduced from $585 million to $470 million to account for the release of collateral, providing the company with approximately $100 million of additional availability under the facility.

Car stolen at gunpoint spotted in Adams County

 A car stolen from a couple at gunpoint in Denver Saturday night was spotted in Adams County Sunday morning, but was not apprehended by police.

The carjacking and robbery happened at a car wash, at 1980 W. Mississippi Ave., around 8 p.m. Saturday night, said Denver police spokesperson Sonny Jackson. A suspect was described as a white or Hispanic male with tattoos on his face.

The victims, whose names were not released by police, said that the suspect took off toward west Mississippi Avenue in the black 2005 Chevy Malibu, Jackson said.

The car was last seen by an Adams County deputy near Interstate-25 and 58th Avenue a little before 8 a.m. Sunday.

The deputy identified the car by its license plate and attempted to stop it, but the driver accelerated, said Adams County spokesperson Sgt. Paul Gregory.

The suspect is still at large. The deputy did not chase the stolen car because it was unsafe, Gregory said.

Jefferson County house fire victim identified

The Jefferson County Coroner's Office has announced the identity of a 67-year-old man killed in a house fire Thursday night near Pleasant View.

William Edward Alexander's body was found at a home at 1415 Isabell St. on Thursday night about 10:48 p.m.

Chief Deputy Coroner Carl Blesch said the preliminary cause of death is asphyxiation.

Alexander lived alone at the home within unincorporated Jefferson County.

Authorities have said foul play is not suspected.

Douglas County appeals ruling on Sterling Ranch development

 Douglas County has formally appealed a judge's ruling that reversed its approval of the Sterling Ranch development.

Douglas County District Court Judge Paul King ruled in August that the $4.3 billion development for 12,050 homes did not have enough water lined up.

King ruling cited a 2008 state law that prohibits local governments from permitting new projects until adequate water supplies are assured.

The appeal was filed Wednesday with the Colorado Court of Appeals .

Those in the home-building industry said the outcome could affect projects on semi-arid land where there isn't a lot of water. For years, suburban building has gotten the go-ahead without requiring that developers have sufficient water in place in advance.

Weld County adds two more compressed natural gas stations

WELD COUNTY — Officials here want to see Weld become an alternative fuel corridor between Denver and Wyoming by opening up a series of Compressed Natural Gas stations throughout the county.

Last week, two more stations were opened, in Fort Lupton and Kersey, bringing the total number of CNG stations to four, say officials.

The Fort Lupton and Kersey stations are owned by Zeit Energy. The two other CNG stations, located in Firestone and Greeley, are owned by SkyBlu.

"With stations now located in Firestone, Fort Lupton, Kersey and Greeley, drivers will be able to fuel with CNG throughout the county," said County Commissioner Barbara Kirkmeyer, who formed the Weld County Natural Gas Coalition in 2009. "We are proud to have been able to work with public and private entities to bring affordable and clean-burning CNG to Weld County."

Compressed natural gas is a fossil fuel but seen as a more environmentally sound substitute for gasoline, Diesel fuel or propane. It is also much safer than other fuels in the event of a spill, say officials.

In addition to promoting CNG for public use, Weld County is in the process of converting its own vehicle fleet to CNG and, in some cases, LNG (liquified natural gas) for heavy duty trucks.

"The cost savings for CNG and LNG fuel is significant," said Kirkmeyer. "That is why the county is moving forward on this conversion."

COLORADO SPRINGS — El Paso County commissioners on Tuesday will consider two proposals that would outlaw marijuana in certain circumstances.

One county proposal would prohibit the display, possession and use of recreational marijuana on county property. The second would prohibit the cultivation and retail sale of recreational marijuana in unincorporated El Paso County.

The measures have been crafted in response to the passage of Amendment 64 in November, which legalized the possession of up to an ounce of marijuana and six marijuana plants for adults over 21. It also legalized retail sales of recreational marijuana, beginning in January 2014.

Pitkin County agrees to back federal-private land swap at Mt. Sopris

ASPEN — Pitkin County has reached an agreement to support the long-discussed, controversial midvalley land swap proposed by the Wexner family, it was announced on Friday.

The family has agreed to conserve additional land and fund trails for the county, in exchange for the commissioners' support of a proposal to privatize more than 1,200 acres of federal land on the flanks of Mount Sopris adjacent to the Wexner family's Two Shoes Ranch property. The county had withheld support for the federal land swap, while negotiating in closed-door meetings with the Wexners' representatives over the last two years.

The federal swap proposal is currently being evaluated by the Bureau of Land Management (BLM). The Wexners are offering the feds the 557-acre Sutey Ranch, north of Carbondale and adjacent to the Red Hill Recreation Area, in exchange for the Sopris acreage. The BLM also would get a 112-acre parcel along Prince Creek Road allowing mountain bikers access to "the Crown" recreation area. Abigail and Leslie Wexner, owner of Limited Brands, also are offering $1.1 million to the BLM to help manage the properties.

Former Democrat of the Year in Jefferson County receives probation in theft case

Jefferson County's former Democrat of the Year, convicted of theft from an at-risk person, was sentenced Friday morning to 18 months probation.

A District Court judge also ordered Estelle Carson to pay $855 restitution to the 71-year-old victim, and perform 60 hours of community service.

Carson wrote three checks from the woman's account, including one to pay for Carson's cable, Internet and phone when they were about to be canceled, according to the Jefferson County district attorney's office.

The victim, known publicly only as Louise, is legally blind and has cerebral palsy. The incident has made her less trusting, said a friend, Lisa Kaiser, who was at the sentencing.

"A person with disablities depends on being able to trust people," Kaiser said.

But Kaiser said Louise was grateful that authorities took the complaint seriously, and that the conviction will be on Carson's record.

Carson, 67, could not be reached for comment. A Jefferson County jury in October found her guilty of two felony counts, identity theft and theft from an at-risk person.

Carson, of Wheat Ridge, in January was as named Democrat of the Year by the Jefferson County Democratic Party. The party revoked her honor after she was convicted, party chairman Chris Kennedy said.

Douglas County deputies to help needy children shop for gifts Saturday

Select Douglas County children will be able to "Shop with a Cop" Saturday morning at the Target store in Highlands Ranch.

The children were chosen by Douglas County Human Services and the Douglas County School District as those in need of both a brighter Christmas and the friendship of deputies.

Children will arrive at the store at 10 a.m. , and each will be paired with a deputy to help them shop for gifts.

"Shop with a Cop" is made possible by donations from the public and from sheriff's deputies, as well as the support of Target stores.

"The Douglas County Sheriff's Office is honored to have the opportunity to brighten the holiday experience for these families," Douglas County Sheriff David A. Weaver said in a statement. "And we hope to make this an annual tradition for many years to come in our community."
